These Terms of Service ("Terms") govern your access to and use of the products and services provided by Zora Africa Ltd ("Zora Africa", "we", "us", or "our"), including the Zora crypto-to-Naira app and website (together, the "Services"). By creating an account or using the Services, you agree to be bound by these Terms.
Risk warning: Cryptocurrencies are volatile and their value can rise or fall significantly. Using the Zora app involves financial risk. Only transact with amounts you can afford to lose, and make sure you understand how conversions work before you confirm them.
1. Eligibility and accounts
You must be at least 18 years old and legally able to enter into a binding contract to use the Services. You agree to provide accurate, current, and complete information when registering and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorised use.
2. The Services
Zora Africa provides a range of products and services. In particular, the Zora app enables users to deposit supported cryptocurrencies, convert them to Nigerian Naira at prevailing rates, and withdraw the Naira proceeds to a linked Nigerian bank account. The Services are provided on an "as is" and "as available" basis. We may add, modify, suspend, or discontinue features at any time.
3. Verification and compliance
To use certain Services, including the Zora app, you must complete identity verification (KYC). We are required to comply with applicable Anti-Money Laundering (AML) and Counter-Financing of Terrorism (CFT) laws. You agree to provide any information or documentation we reasonably request. We may refuse, limit, delay, or reverse transactions, and may report activity to relevant authorities, where necessary to comply with the law or manage risk.
4. Conversions, rates, and fees
Exchange rates displayed in the Zora app are indicative until you confirm a conversion. The applicable rate is locked at the moment you confirm the transaction. Fees, where they apply, are shown before you confirm. Once confirmed, a conversion is generally final and cannot be reversed. Blockchain network fees may apply to deposits and are outside our control.
5. Deposits and withdrawals
- You are solely responsible for sending crypto to the correct wallet address and network shown in the app. Transfers to incorrect addresses or unsupported networks may be unrecoverable.
- Withdrawals are paid to the Nigerian bank account you have linked and verified. You are responsible for the accuracy of your bank details.
- Payout times are estimates and may vary due to network congestion, bank processing, or compliance checks.
- We may apply minimum or maximum transaction limits, which may change from time to time.
6. Prohibited use
You agree not to use the Services to:
- Engage in money laundering, fraud, terrorist financing, or any illegal activity.
- Transact with funds derived from unlawful sources.
- Circumvent our verification, security, or compliance controls.
- Use another person's identity or provide false information.
- Interfere with, disrupt, or attempt to gain unauthorised access to the Services.
- Use the Services in any jurisdiction or manner prohibited by applicable law.
Violation of this section may result in immediate suspension or termination and may be reported to authorities.
7. Risk disclosure
You acknowledge and accept that: cryptocurrency prices are highly volatile; the value you receive depends on market rates at the time of conversion; blockchain transactions are generally irreversible; and technology, market, regulatory, and operational risks apply. We do not provide investment, tax, or legal advice, and nothing in the Services should be construed as such. You are responsible for your own decisions and for any taxes arising from your transactions.
8. Limitation of liability
To the maximum extent permitted by law, Zora Africa Ltd and its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from your use of, or inability to use, the Services. Our total aggregate liability for any claim relating to the Services shall not exceed the total fees you paid to us in respect of the transaction giving rise to the claim.
9. Indemnification
You agree to indemnify and hold harmless Zora Africa Ltd and its affiliates from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your breach of these Terms, or your violation of any law or the rights of a third party.
10. Suspension and termination
We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have breached these Terms, engaged in prohibited activity, or where required by law or to protect the Services and their users. You may stop using the Services at any time. Provisions that by their nature should survive termination will continue to apply.
11. Intellectual property
All content, trademarks, logos, software, and materials in the Services are owned by or licensed to Zora Africa Ltd and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written permission.
12. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected.
13. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Nigeria. Before initiating formal proceedings, you agree to first contact us to seek a good-faith resolution.
14. Changes to these Terms
We may update these Terms from time to time. We will post the revised Terms with an updated "Last updated" date and, where appropriate, notify you through the Services. Your continued use after the changes take effect constitutes acceptance of the revised Terms.
